Mark discussed the acquisition process, and the tax consequences in structuring a deal. He offers key insights in strategic partnering as well as other considerations in an acquisition.

Presentation Two: Finding the Right Buyer

Joseph began the discussion with an overview of the M&A market conditions and covered various topics, including the range of services provided by bankers in the M&A process, how valuations are set from the target's perspective, and what kind of transactions Needham is working on. Bruce continued the discussion by presenting an example of a company's course of action in a deal. He discussed concerns such as prospecting, how to profile your company, pre-deal LOI stage, and post-deal transitioning. Jed ended the discussion by offering helpful tips on executing a successful transaction based on his own experience.

Brett presented the pros and cons of doing an IPO and continued his discussion by explaining the IPO process, including pre-IPO planning, choosing an underwriter, and various securities and regulatory issues. Brian gave an overview of IPO market trends, pricing, and an overview of services offered by Thomas Weisel Partners. Michael focused on the road to liquidity in the post-internet age, how to grow a company, and criteria for an IPO.
